Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Shop Cloud Pro software, websites, and related services (collectively, the “Service”), operated by Shop Cloud Pro Corp (“Shop Cloud Pro,” “we,” “us,” or “our”), located at 1400 Inwood Ave., Bronx, NY 10452. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Shop Cloud Pro is a management platform for auto repair shops. It provides tools for jobs, estimates, invoices, parts, payments, bookings, inspections, reporting, and customer communications. We may add, change, or remove features over time.

2. Accounts and eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

3. Subscriptions, fees, and billing

Some features require a paid subscription. Fees, billing frequency, and any free-trial terms are presented at sign-up or in your account. Subscriptions renew automatically until cancelled. Except where required by law, fees are non-refundable. We may change pricing on a going-forward basis with reasonable notice.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
  • Send messages to recipients who have not consented to receive them, or send unlawful, deceptive, or harassing content;
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems, or interfere with the Service’s operation;
  • Reverse engineer, resell, or sublicense the Service except as expressly permitted.

5. Your data and responsibilities

You retain ownership of the data you and your customers put into the Service (“Customer Data”). You grant us a limited license to host, process, and use Customer Data solely to provide and improve the Service. You are responsible for obtaining any consents required to collect and process the personal information of your customers, including phone numbers and email addresses used for communications.

6. SMS and email communications

The Service lets shops send text messages and emails to their customers (for example, “your vehicle is ready,” estimates, and appointment reminders). If you use these features, you represent that you have obtained the recipient’s consent to be contacted and that your messages comply with all applicable laws and carrier requirements, including the Telephone Consumer Protection Act (TCPA) and CTIA guidelines. Recipients can opt out of text messages at any time by replying STOP, and can reply HELP for assistance. Message and data rates may apply. We may suspend messaging that violates these requirements.

7. Intellectual property

The Service, including its software, design, and content (excluding Customer Data), is owned by Shop Cloud Pro Corp and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.

8. Third-party services

The Service integrates with third-party providers (for example, payment, messaging, and storage providers). Your use of those services may be subject to their own terms, and we are not responsible for their acts or omissions.

9. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

10. Limitation of liability

To the maximum extent permitted by law, Shop Cloud Pro Corp will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the claim arose.

11. Indemnification

You agree to indemnify and hold harmless Shop Cloud Pro Corp from any claims, damages, or expenses arising out of your use of the Service, your Customer Data, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Upon termination, your right to use the Service ends. We may make Customer Data available for export for a reasonable period, after which it may be deleted.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in New York.
